for BareMetal Cloud

Welcome to BareMetal Cloud. These Terms of Service (“Terms”) govern your access to and use of the BareMetal Cloud platform, website, applications, services, reports, dashboards, and related features (collectively, the “Platform”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
1. About BareMetal Cloud
BareMetal Cloud from Return Infinity provides infrastructure to run micro virtual machines (MicroVM's) on demand. Each MicroVM runs a unikernel on the BareMetal exokernel, to deliver a secure, RAM-efficient, speedy machine on-demand.
2. Eligibility
You must be at least eighteen (18) years of age and have the authority to enter into these Terms on behalf of yourself or the organization you represent.
If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
3. User Accounts
You are responsible for:
Maintaining the confidentiality of your login credentials;
Restricting access to your account;
Ensuring all information provided is accurate and current;
All activity occurring under your account.
You agree to immediately notify Return Infinity of any unauthorized use of your account or security breach.
4. Acceptable Use
You agree not to:
Use the Platform for any unlawful purpose;
Upload malicious software, viruses, malware, or harmful code;
Attempt to gain unauthorized access to the Platform or its systems;
Interfere with the operation, security, or availability of the Platform;
Reverse engineer, decompile, or attempt to discover the source code of the Platform;
Copy, reproduce, distribute, or resell any portion of the Platform without authorization;
Use the Platform to develop or support a competing product or service;
Access data belonging to another customer without authorization.
Return Infinity reserves the right to suspend or terminate access for violations of these Terms.
5. Subscription Services
Certain features of the Platform may require a paid subscription.
Subscription fees, onboarding fees, and other charges will be communicated through an order form, proposal, subscription agreement, invoice, or other written communication.
Unless otherwise agreed in writing:
Fees are payable in Canadian Dollars (CAD);
Fees are non-refundable;
Taxes are additional and payable by the customer.
6. Platform Availability
Return Infinity will use commercially reasonable efforts to maintain Platform availability.
However, the Platform may be temporarily unavailable due to:
Scheduled maintenance;
Emergency maintenance;
Internet outages;
Third-party service interruptions;
Security incidents;
Circumstances beyond Return Infinity's reasonable control.
Return Infinity does not guarantee uninterrupted or error-free service.
7. Customer Data
You retain ownership of all data, documents, files, transaction information, project information, and other content submitted to the Platform (“Customer Data”).
You grant Return Infinity a limited license to store, process, transmit, display, and otherwise use Customer Data solely for the purpose of providing and improving the Platform.
You are responsible for ensuring you have all necessary rights and permissions to upload Customer Data.
8. Aggregated and Anonymous Data
Return Infinity may create and use aggregated, anonymized, and de-identified data derived from Customer Data for analytics, benchmarking, reporting, product improvement, and business operations.
Such information will not identify you, your customers, or your projects.
9. Intellectual Property
The Platform, including all software, source code, designs, interfaces, workflows, documentation, trademarks, logos, reports, and related intellectual property, is owned by Return Infinity or its licensors.
Except for the limited right to access and use the Platform under these Terms, no ownership rights are transferred to you.
You may not:
Copy or reproduce the Platform;
Create derivative works;
Reverse engineer the Platform;
Remove copyright, trademark, or proprietary notices;
Resell or sublicense access to the Platform.
10. Feedback
If you provide Return Infinity with suggestions, ideas, feature requests, comments, or other feedback, you grant Return Infinity a perpetual, irrevocable, worldwide, royalty-free right to use, modify, and incorporate such feedback into its products and services without compensation or obligation to you.
11. Privacy
Return Infinity collects, uses, stores, and discloses information in accordance with its Privacy Policy.
By using the Platform, you consent to such collection, use, and disclosure.
12. AI Features
Certain Platform features may use artificial intelligence or machine learning technologies.
AI-generated outputs are provided for informational purposes only and may contain inaccuracies, omissions, or errors.
You are solely responsible for reviewing and verifying any AI-generated content before relying upon it.
Return Infinity makes no representations or warranties regarding the accuracy or suitability of AI-generated outputs.
13. Confidentiality
Each party agrees to protect confidential information received from the other party and to use such information only for purposes related to the Platform and services provided.
Confidential information does not include information that:
Is publicly available;
Was already lawfully known;
Is independently developed;
Is required to be disclosed by law.
14. Suspension and Termination
Return Infinity may suspend or terminate access to the Platform if:
Fees remain unpaid;
These Terms are violated;
Fraudulent or unlawful activity is suspected;
Continued access may create security risks.
Upon termination, your right to access the Platform immediately ceases.
15. Data Retention
Following termination, Return Infinity may retain Customer Data for a reasonable period to comply with legal obligations, backup procedures, and operational requirements.
Customers may request a copy of their data, subject to applicable fees and technical limitations.
16. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETURN INFINITY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETURN INFINITY SHALL NOT BE LIABLE FOR:
LOST PROFITS;
LOST REVENUE;
LOSS OF BUSINESS;
LOSS OF DATA;
BUSINESS INTERRUPTION;
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
RETURN INFINITY's TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CUSTOMER TO RETURN INFINITY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
18. Indemnification
You agree to defend, indemnify, and hold harmless Return Infinity and its affiliates, officers, employees, contractors, and partners from any claims, damages, losses, liabilities, costs, and expenses arising from:
Your use of the Platform;
Your Customer Data;
Your violation of these Terms;
Your violation of any law or third-party rights.
19. Modifications
Return Infinity may modify these Terms from time to time.
Updated versions will be posted on this page and become effective upon posting unless otherwise stated.
Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
20. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
